Terms of Service

These terms govern your access to and use of the ShipXLabel shipping-label platform, including your wallet, label purchases, automation rules, and connected integrations.

1. Acceptance of Terms

These Terms of Service (the “Terms”) form a binding agreement between you and [Company Name] (“ShipXLabel”, “we”, “us”, or “our”) and govern your use of the ShipXLabel web application and related services (the “Platform”). By creating an account, funding a wallet, generating a shipping label, or otherwise using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms.

If you are using the Platform on behalf of a business or other organization, you represent that you have authority to bind that organization to these Terms, and “you” refers to that organization. If you do not agree to these Terms, you may not use the Platform.

2. Eligibility

You must be at least 18 years old and capable of forming a legally binding contract to use the Platform. The Platform is a business tool intended for merchants, shippers, and their authorized team members; it is not directed to consumers for personal use. You may only use the Platform for lawful commercial shipping activity and in compliance with all applicable laws, carrier rules, and these Terms.

Access to certain features — including the ability to purchase labels — may require your account to be reviewed and activated by our team before it becomes available.

3. User Accounts

To use the Platform you must create an account with accurate, current, and complete information and keep it up to date. You are responsible for all activity that occurs under your account, including activity by team members or integrations you authorize.

Specifically, you are responsible for:

  • Account security. Maintaining the confidentiality of your account and restricting access to authorized individuals. You must notify us promptly if you believe your account has been accessed without authorization.
  • Passwords. Choosing a strong password, keeping your credentials confidential, and not sharing login details. You are responsible for any actions taken using your credentials.
  • API integrations. Any API keys, connection credentials, or third-party integrations you configure (such as ShipStation or carrier connections), including keeping those credentials secure and ensuring their use complies with these Terms and the third party’s own terms.

4. Wallet

The Platform uses a prepaid wallet to fund your shipping activity. Your wallet reflects a running balance that is increased and decreased as you use the Platform:

  • Wallet balances. Your balance represents prepaid funds available to purchase labels and other supported services on the Platform.
  • Top-ups. You may add funds to your wallet, or funds may be added on your behalf, to increase your available balance.
  • Deductions and purchases. When you generate or purchase a shipping label (individually, in a batch, or automatically), the corresponding amount is deducted from your wallet balance.
  • Refunds. Approved refunds — for example, for a label that was never used and is eligible for a carrier refund — are credited back to your wallet balance, subject to the Refunds section below.
  • Administrative adjustments. We may make manual credits or debits to your wallet to correct errors, reconcile carrier charges, reverse disputed or fraudulent activity, apply promotional credits, or otherwise administer your account.

Your wallet is a platform balance, not a bank deposit. Wallet funds are a prepaid credit usable only to pay for services on the Platform. They are not a deposit account, do not earn interest, are not insured, and do not represent legal tender or e-money held on your behalf. You may not transfer your wallet balance to other users or use it for any purpose other than paying for Platform services.

5. Shipping Labels

The Platform lets you purchase and generate shipping labels through supported, integrated carrier and provider services. Labels are produced based on the shipment details you supply, including addresses, package dimensions, weight, and selected service level.

  • Labels are generated through integrated providers. ShipXLabel acts as a technology layer that connects to supported shipping providers and carriers; the underlying transportation, label, and postage are provided by those parties and subject to their terms and rate structures.
  • Pricing may change. Carrier and provider rates, surcharges, and fees are set by third parties and can change without notice. The price shown at purchase reflects the rate available at that time.
  • Services may become unavailable. Specific carriers, service levels, or routes may be temporarily or permanently unavailable due to provider decisions, outages, or operational limits outside our control.

You are responsible for ensuring that the shipment details you enter are accurate and that your shipments comply with applicable carrier requirements and shipping laws. Charges, adjustments, or penalties that a carrier applies for incorrect weight, dimensions, address corrections, or misdeclared contents may be passed through to your wallet.

6. Auto Label

Auto Label lets you configure rules that automatically generate and purchase shipping labels for qualifying orders without manual action on each order.

  • Automatic purchases. When enabled, Auto Label may deduct funds from your wallet and generate labels automatically as matching orders arrive, according to the rules you configure.
  • You are responsible for your configured rules. You are solely responsible for the rules, filters, carrier and service selections, and other settings you configure, and for the labels and charges those rules produce. We recommend reviewing your rules before enabling automation.
  • Disabling services. You can disable Auto Label or individual rules at any time. Disabling automation stops future automatic purchases but does not reverse labels already generated.
  • Provider availability. Automatic purchases depend on the availability of the underlying providers and carriers. If a provider is unavailable, affected automated purchases may fail, and you are responsible for monitoring and resolving such failures.

7. CSV Imports

The Platform lets you import order and shipment data in bulk by uploading CSV files. You are responsible for the data you upload, including its accuracy, completeness, and your right to use it (for example, recipient names and addresses).

The Platform performs validation on uploaded files to help catch formatting problems and common errors, but we cannot guarantee the correctness of imported information. Validation is a convenience, not a substitute for your own review. Labels generated from imported data rely on the values you provide, and you remain responsible for charges and outcomes resulting from inaccurate or incomplete imports.

8. Integrations

The Platform can connect to third-party services to sync orders and generate labels, including ShipStation and supported shipping providers and carriers. When you connect an integration, you authorize the Platform to exchange the data necessary to provide the service, and you agree to comply with that third party’s terms.

These integrations depend on systems we do not control. Third-party outages, maintenance, rate changes, API changes, or discontinued services are outside the Platform’s control, and we are not responsible for interruptions, delays, or errors caused by a third party. If an integrated provider becomes unavailable, related Platform features may be temporarily degraded or unavailable.

9. Refunds

If a label is eligible for a refund — for example, an unused label that qualifies for a carrier refund — you may submit a refund request through the Platform. Each request is reviewed individually and, where applicable, is subject to the originating carrier’s or provider’s refund rules, timelines, and eligibility criteria.

Approval is not guaranteed. A refund request may be declined if it does not meet carrier eligibility rules, is submitted outside the allowed window, or cannot be verified. Approved refunds are credited back to your wallet balance as described in the Wallet section and are not paid out as cash unless we expressly state otherwise.

10. Prohibited Use

You agree not to use the Platform to engage in, facilitate, or attempt any of the following:

  • Fraud. Fraudulent activity, including payment fraud, chargeback abuse, misrepresenting shipment contents or value, or using another party’s payment or account details without authorization.
  • Illegal shipments. Shipping items that are prohibited or restricted by law or by the applicable carrier, or shipments that violate export, customs, or hazardous materials rules.
  • Abuse. Harassing, threatening, or abusing other users, our staff, or our providers, or interfering with the security or integrity of the Platform.
  • Reverse engineering. Copying, decompiling, reverse engineering, or attempting to derive the source code of the Platform, or circumventing any access, security, or usage controls.
  • Excessive automated requests. Scraping, overloading, or sending automated requests to the Platform beyond normal permitted use in a way that degrades performance or availability for others.

11. Service Availability

We work to keep the Platform available and reliable, but we do not guarantee uninterrupted or error-free operation. The Platform may be temporarily unavailable or degraded due to scheduled or emergency maintenance, provider or carrier outages, integration failures, or other events, some of which are outside our control. We may modify, suspend, or discontinue features from time to time as the Platform evolves.

12. Limitation of Liability

To the maximum extent permitted by law, the Platform is provided “as is” and “as available” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or that it will meet your specific requirements.

To the maximum extent permitted by law, [Company Name] and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill, arising out of or related to your use of the Platform. Our total aggregate liability arising out of or related to these Terms or the Platform will not exceed the amount you paid to us for the Platform in the three (3) months immediately preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.

13. Account Suspension

We may suspend, restrict, or terminate your access to the Platform, in whole or in part, if we reasonably believe that:

  • you have violated these Terms, including the Prohibited Use section;
  • your account is involved in fraudulent, illegal, or abusive activity;
  • there is a security risk to your account, other users, or the Platform, or a chargeback or payment-dispute issue affecting your wallet;
  • suspension is required to comply with a legal obligation or a request from a carrier, provider, or authority.

Where practical and appropriate, we will provide notice and an opportunity to resolve the issue. We may withhold access to wallet functions during an investigation of suspected fraud or abuse.

14. Changes to Terms

We may update these Terms from time to time to reflect changes to the Platform, our providers, or applicable law. When we make material changes, we will update the “Last updated” date above and, where appropriate, provide additional notice. Your continued use of the Platform after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you should stop using the Platform.
